ProPlayLive.com (hereinafter "ProPlay", "ProPlayLive.com", "Us", or "We") is a service that provides online instructional videos and is not a gambling Web site and does not contain hyperlinks to Web sites where gambling takes place.

By using this Web site and/or becoming a paid subscriber, you (hereinafter "User" or "You" or "Member") explicitly agree to these Terms and Conditions (hereinafter "Terms") described herein. If User does not agree to the Terms, User may not use this Web site.

Membership is limited to only one person per membership account
User agrees to not disclose login or password information to anyone. ProPlay reserves the right and may use special software tracking and other techniques to detect multiple simultaneous logins. ProPlay may also track member IP address usage patterns to further identify unauthorized account sharing activity. If User violates our non-disclosure policy, User will be subject to account termination without further refund of subscription fees.

Ownership
This Web Site is owned and operated by Pro Play Training, Inc. (hereinafter "ProPlay", "ProPlayLive.com", "Us", or "We"). All written and video content contained on this Web Site are the property of and is owned by ProPlay. User acknowledge that User does not acquire any ownership or intellectual property rights by viewing or downloading copyrighted material.

Users Of The ProPlayLive.com Web Site
There are two different types of Users of our Web Site. "Public Users" have the ability to view information located on the site. A Public User's capability is limited to navigating our site and may have access to a small number of free demo training videos. A Public User cannot access "Member User" areas of the ProPlayLive.com Web Site. A "Member User" has access to additional features of the Web Site including access to the full training video library.

Service
ProPlay may at any time change or discontinue any aspect, pricing or feature of its Web Site, including but not limited to, its content, video library, hours of operation, ways to contact the company, as well as technical requirements needed to use or access the Web Site and its related services.

Information On Our Web Site
Information on ProPlay's Web Site is provided "AS IS" and may contain technical inaccuracies or other errors. Video content is the opinion of the individual instructor and shall not be construed as fact. We also do not guarantee continuous, uninterrupted or secure access to our services, and operation of the ProPlay Web Site may be interfered with by any number of factors outside of ProPlay's control. User uses this Web Site at User's own risk.

The information contained in this Web Site is for general information and educational purposes only. We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the website or the information, products, services, or related videos or informational content contained on the website for any purpose. Any reliance User places on such information is therefore strictly at User's own risk. In no event will ProPlay be liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data, money or profits arising out of or in connection with the use of this Web Site.

System Integrity
User may not use any software, device or routine, malicious code or repeated "hacks" or "attacks" on Web server(s), intended to damage or interfere with the proper working of the ProPlay Web Site or to surreptitiously intercept or expropriate any system, data or personal information from the ProPlay Web Site. You may not take any action which imposes an unreasonable or disproportionately large load on our infrastructure, including but not limited to repeated viewing of video content such that said viewing of any single video exceeds 6 views in a single day or is considered malicious viewing with the intent of using excessive amounts of bandwidth, denial of service attacks, "spam" or any other such unsolicited overload technique.

Submissions
All information submitted to ProPlay via this site shall or in email shall be deemed and remain the property of ProPlay and ProPlay shall be free to use, for any purpose, any concepts, ideas, know-how or techniques contained in information User, Member or visitor to this site provides ProPlay through this Web Site. ProPlay shall not be subject to any obligations of confidentiality regarding submitted information except as agreed by ProPlay in writing or as otherwise specifically required by law.

The ProPlayLive.com Web Site and all intellectual property rights included in or related to the Site (including but not limited to copyrights, trademarks and service marks), are owned or licensed by ProPlay, and all right, title and interest in our Web Site and the related intellectual property rights remain our property (or the property of the respective licensors). ProPlay makes no representation that the information in the Web Site is appropriate or available for all for use in other locations, and access to the Site from territories or countries where the contents of the Site may be illegal is prohibited. Users who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws. Any claims relating to the use of this Site will be governed by the laws of Broward County, Florida, U.S.A., without regard to its conflict of laws rules.

Termination Of Use
If at any time User is not in compliance with these Terms, or if ProPlay is unable to authenticate or verify information you provide to us, we have the right to terminate your rights of use and access to this Web Site. We also have the right to terminate a User's use at our discretion, for any reason or for no reason whatsoever.

Hyperlinks
The ProPlay Web Site may contain hyperlinks to other third party Web sites not under our operation or control. When we provide said links, we do so only as a convenience and do not endorse and are not responsible for the contents of any linked site or any hyperlink contained in a linked site.

Indemnification
User agrees to indemnify, defend and hold harmless ProPlay, its officers, directors, employees, agents, licensors, investors, instructors, suppliers and any third party information providers to the Service from and against any and all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these Terms (including negligent or wrongful conduct) by Users use of the Web Site. ProPlay is not to be held responsible for any losses due to following the advice discussed by our Instructors or in our instructional videos.

Membership, Cancellation and Refund Policy
By becoming a Member of ProPlay, User agrees to the selected price of User's Subscription in exchange for the service ProPlay provides.

At the end of a billing term, ProPlay will automatically renew the service unless User notifies ProPlay within four days of the end of the subscription renewal date User's intention to cancel.

User explicitly agrees that should there be any dispute regarding charges to User's credit card, that User will contact ProPlay to resolve the issue. It is ProPlay's policy to resolve payment disputes expeditiously to avoid credit card chargebacks. User shall not initiate any chargeback with User's credit card company until User has first contacted ProPlay to resolve the issue, which ProPlay will endeavor to do. If the issue is not resolved within 3 business days to the User's satisfaction, User shall be entitled to pursue other means including a chargeback.

All ProPlay paid Members have self service access to cancel their subscription at any time by logging into ProPlay and clicking the Cancel Service link. Upon receipt of cancellation, Member's login access will remain active until the last day of that billing period and then will be deactivated. User will not be billed for any further membership payments.

Refunds. The recurring monthly charge is non-refundable except in the case where in ProPlay's sole discretion has determined that Member cannot view the video content and that Member has contacted ProPlay within 3 calendar days of Member's initial subscription date alerting ProPlay to said technical issues and that if after a good faith effort by both ProPlay and the User to resolve the issue(s) are unable, ProPlay shall grant Member a refund of the one-time membership fee.

In case User has technical difficulty using this Web Site or viewing training videos, User should contact ProPlay immediately, using any of the methods listed on the Contact page of this Web Site.

Updates To Terms Of Use
ProPlay may amend these Terms and Conditions of Use at any time by posting the amended Terms of Use on the ProPlay Web Site at tos.html. User's continued use of the ProPlay Web Site after the posting of any amended Terms constitutes automatic acceptance of said amended Terms. User may only amend these Terms through written agreement signed by both User and ProPlay.

Pro Play, Pro Play Live, ProPlayLive.com, Pro Play Training, Get The Edge, "Poker Training Through Online Instructional Videos From Pro Players" and all graphics, buttons and Web page information are trademarks or service marks of ProPlay. All rights are reserved.
